- Misuse our contact forms, services or integrations.
We may restrict or suspend access where reasonably necessary to protect our website, users or services, investigate suspected misuse, or comply with legal obligations.
4. Orders, Quotes and Project Acceptance
Enquiries and requests for quotations do not automatically create a binding contract.
Before work begins, we may confirm the agreed scope, price, payment schedule, deliverables and estimated timescale in writing.
You are responsible for reviewing the details of your order or project and ensuring that the information you provide is accurate.
Additional features, revisions or work outside the agreed scope may require a revised quotation, additional fees or an amended delivery date. We will explain any additional charges and obtain your agreement where required before proceeding.
Project dates are estimates unless we expressly agree otherwise in writing.
5. Payments and Fees
Prices, payment terms and any applicable taxes will be communicated before you commit to a purchase, where required by law.
Depending on the service, payment may be required in advance, in stages, upon completion or according to an agreed recurring billing arrangement.
You agree to pay the fees set out in your order confirmation, quotation or applicable agreement.
Where a payment is overdue, we may contact you to arrange settlement. Any suspension, interest or recovery costs will only be applied where permitted by the applicable agreement and law.
If a payment fails or is reversed, we may need to pause the relevant service after giving any notice required by law or the applicable agreement.
6. Website Design and Development
For website design and development projects, you agree to provide the content, images, branding, access credentials, feedback and other materials reasonably required to complete the project.
You are responsible for ensuring that materials you supply may lawfully be used for the intended purpose.
Unless otherwise agreed in writing:
- The project will be delivered according to the approved scope.
- Work requested outside that scope may incur additional charges.
- Delays in receiving content, approvals or access may affect delivery dates.
- You should review the website and report issues within any agreed review period.
- Ongoing hosting, maintenance, updates and support are not included unless expressly agreed.
We will use reasonable care and skill in providing our services. Specific performance, traffic, ranking, sales or business outcomes are not guaranteed unless expressly agreed in writing.
7. WordPress Plugins and Software
HX Media may provide proprietary plugins, software, dashboards, integrations and other digital products.
Unless a product-specific licence states otherwise:
- You may use purchased software only within the scope of the licence granted to you.
- You must not unlawfully copy, resell, redistribute or sublicense our proprietary software.
- You must not attempt to bypass licence verification or technical access controls.
- You must not use our products for unlawful purposes or to interfere with third-party systems.
- Product functionality may depend on WordPress, WooCommerce, hosting, third-party APIs or other external services.
We may release updates, fixes and new features. The availability of updates, support and continued compatibility will depend on the relevant product and licence terms.
We do not guarantee that every product will remain compatible with every third-party service, theme, plugin, hosting environment or future software version.
Nothing in these terms removes rights that cannot legally be excluded.
8. Software Licences, Renewals and Expiry
Some HX Media products may require a licence key or active licence to access certain features, receive updates or use connected services.
The applicable product page or licence agreement will describe the licence period, permitted usage, renewal arrangements and features available under the licence.
Where a licence expires, access to licence-dependent features or services may be restricted in accordance with the applicable product terms. Free functionality, if offered, may remain available.
Renewal payments, cancellation procedures and any applicable renewal notices will be handled according to the terms presented for the relevant product.
A software licence does not transfer ownership of the underlying software to you.
9. Hosting, Domains and Business Email
Hosting, domain registration and email services may depend on third-party providers and their terms.
Unless expressly agreed otherwise:
- Domain registrations are subject to the relevant registrar’s rules and renewal requirements.
- You are responsible for supplying accurate registration information and keeping it up to date.
- Domain availability and registration cannot be guaranteed until confirmed by the relevant provider.
- Hosting and email performance may be affected by maintenance, outages, security incidents or third-party infrastructure.
- Backups, migrations, uptime commitments and recovery services are included only where specified in the applicable plan or agreement.
We will explain any applicable renewal charges and service conditions before you commit to a purchase.
You remain responsible for the legality of the content you publish, the security of your account credentials and the appropriate use of your hosting or email service.
10. eCommerce and Third-Party Integrations
Our services may integrate with WooCommerce, marketplaces, payment processors, social media platforms and other external services.
Third-party services are governed by their own terms, policies, availability and technical requirements.
We do not control changes made by third-party providers, including API restrictions, permission changes, account suspensions, outages, fees or discontinued features.
We will use reasonable care when configuring or supporting integrations, but cannot guarantee uninterrupted operation or continued compatibility where this depends on external services.
You are responsible for maintaining the relevant third-party accounts, complying with their policies and obtaining any permissions necessary to use their services.
11. Social Media and Connected Accounts
Where our products allow you to connect accounts such as TikTok, Facebook, Instagram or other supported platforms, you authorise the relevant integration to perform the actions covered by the permissions you grant.
You remain responsible for:
- The content you choose to upload, schedule or publish.
- Having the necessary rights and permissions to use that content.
- Complying with the platform’s terms, community guidelines and applicable laws.
- Keeping your account credentials and connected accounts secure.
- Reviewing published content and account activity where appropriate.
We do not guarantee that a third-party platform will approve an application, grant permissions, accept content, maintain an API or keep a feature available.
You can disconnect supported integrations through the relevant product or platform settings, subject to the functionality available. Disconnecting an account may not automatically delete information already retained.
Our handling of personal information is described in the HX Media Privacy Policy.
12. Digital Design and Video Editing
For digital design, branding, promotional graphics and video editing services, the agreed quotation or project scope will identify the deliverables and any included revisions.
Unless otherwise agreed:
- You must provide assets and instructions needed for the work.
- You are responsible for ensuring you have the rights to materials you supply.
- Additional revisions or changes outside the agreed scope may incur additional fees.
- Delivery formats and editable source files will be provided only where included in the agreement.
- You must review deliverables and notify us of any agreed-scope issues within the specified review period.
You are responsible for obtaining any required permissions for music, footage, images, logos or other assets you request us to incorporate, unless we expressly agree to source or license those assets.
13. Intellectual Property
HX Media and its licensors retain ownership of their pre-existing intellectual property, including proprietary software, reusable code, tools, frameworks, templates, branding and website content.
Ownership and usage rights for bespoke deliverables will be determined by the relevant written agreement.
Unless otherwise agreed in writing, payment for a project does not automatically transfer ownership of all underlying tools, reusable code, third-party assets or pre-existing intellectual property used to deliver it.
You retain ownership of materials you supply, subject to any rights belonging to third parties.
You grant HX Media permission to use the materials you supply to the extent reasonably necessary to provide the agreed services.
Any portfolio use, public case study or promotional display of your project will be subject to the applicable agreement, confidentiality obligations and data protection law.
14. Customer Responsibilities
You agree to:
- Provide accurate information and timely feedback.
- Maintain appropriate backups of your own data and content unless backup services are expressly included.
- Keep passwords, API keys and account credentials secure.
- Ensure your website, products and content comply with applicable laws.
- Obtain necessary permissions for content, personal data and third-party integrations.
- Notify us promptly of suspected security issues affecting a service we provide.
We may request additional information where reasonably necessary to deliver a project, maintain security or comply with legal obligations.
15. Support, Maintenance and Updates
Support, maintenance, updates and response times depend on the service or plan you purchase.
Unless expressly included in writing, a project fee does not automatically include ongoing maintenance, unlimited revisions, emergency support, hosting or future development.
Where support is included, we will provide it in accordance with the relevant service description or agreement.
We may need to carry out maintenance or updates that temporarily affect availability. Where reasonably practicable, we will provide notice of planned interruptions to services we operate.
16. Cancellations, Refunds and Consumer Rights
Cancellation and refund arrangements depend on the type of purchase, the applicable agreement and whether you are purchasing as a consumer or a business.
Any cancellation terms, refund conditions and applicable charges will be communicated before purchase where required by law.
Consumer rights: Nothing in these Terms & Conditions excludes or limits statutory rights that cannot legally be excluded or limited.
Where a consumer purchases services or digital content online or by another distance-selling method, statutory cancellation rights may apply. The applicable rules can differ depending on the type of contract, whether performance has started, and whether valid consent or acknowledgements have been obtained.
If you ask us to begin a service during a statutory cancellation period, we will obtain any required express request or acknowledgement. Any lawful charge for services performed before cancellation, or any exception applicable to digital content, will be handled in accordance with the law.
For bespoke work, software licences, digital downloads, hosting and recurring services, the relevant cancellation and refund conditions will be explained in the applicable order terms.
To request cancellation or discuss a refund, contact us using the details in Section 1.
17. Privacy and Data Protection
We handle personal information in accordance with our Privacy Policy and applicable data protection law.
Depending on the service, we may process information to fulfil orders, provide support, manage licences, operate integrations, protect systems and meet legal obligations.
You should review our Privacy Policy for details about the information we collect, how we use it, third-party sharing, retention and your privacy rights.
Where we process personal information on behalf of a business customer, additional data processing terms may be required.
18. Availability and Changes to Services
We aim to provide reliable services, but we do not guarantee that every website feature, plugin, integration or third-party service will always be available without interruption or error.
We may update or change our products and services for security, technical, legal or operational reasons.
Where a change materially affects a paid service, we will act in accordance with the applicable agreement and consumer law.
Nothing in this section removes any rights you may have if a paid service is not provided as agreed.
19. Limitation of Liability
We are responsible for providing our services with the care and skill required by applicable law and for liabilities that cannot legally be excluded.
To the extent permitted by law, we are not responsible for losses arising solely from:
- Your misuse of a service or failure to follow reasonable instructions.
- Inaccurate information or materials supplied by you.
- Third-party platform changes, outages or decisions outside our reasonable control.
- Unauthorised access resulting from your failure to protect your own credentials.
- Events outside our reasonable control.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Where you purchase as a consumer, your statutory rights remain unaffected.
Any additional liability limits applicable to business customers must be expressly agreed and must be lawful and reasonable in the circumstances.
20. Indemnity
Where you purchase or use our services for business purposes, you agree to be responsible for losses, claims or costs arising from your unlawful use of the services, your infringement of third-party rights, or materials you supply that you were not entitled to use, to the extent that such responsibility may lawfully be imposed.
This section does not apply to the extent that a claim results from our own breach, negligence or other liability that cannot lawfully be excluded.
Nothing in this section creates an obligation for a consumer beyond what applicable law permits.
21. Suspension and Termination
We may suspend or terminate access to a service where reasonably necessary because of serious misuse, non-payment, a security threat, unlawful activity or a material breach of the applicable agreement.
Where appropriate and legally permitted, we will provide notice and a reasonable opportunity to remedy the issue.
Termination does not remove payment obligations already incurred or any rights and remedies that have accrued.
Any effect on licences, stored data, domains, hosting or connected accounts will be governed by the relevant service agreement and applicable law.
22. Events Outside Our Control
We are not responsible for delays or failures caused by events beyond our reasonable control, such as major infrastructure outages, natural disasters, government action, widespread network failures or third-party platform interruptions.
We will take reasonable steps to reduce the impact and resume affected services when practicable.
This section does not remove rights that cannot legally be excluded.
23. Complaints and Disputes
If you have a concern about a product or service, please contact us using the details in Section 1.
We will review the issue and aim to resolve it fairly and promptly.
Where a dispute cannot be resolved informally, you may have access to legal remedies or complaint procedures available under applicable law.
24. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales, unless applicable law requires otherwise.
The courts of England and Wales will have jurisdiction, subject to any mandatory rights consumers may have to bring proceedings in another jurisdiction or benefit from the laws and courts that apply to them.
25. Changes to These Terms
We may update these Terms & Conditions to reflect changes in our services, business operations or legal obligations.
The revised version will be published on this page with an updated “Last updated” date.
Changes will apply as permitted by law. Where required, we will provide notice or obtain agreement before applying material changes to an existing contract.
